## What's an Apify Actor?

Actors are web data automations that power AI and operations. They run on the Apify platform to scrape websites, process data, connect APIs, and automate workflows.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.
Actors are written with capital "A".

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.
The best way to integrate Actors is as follows.

- **AI agents and MCP clients** — the [Apify MCP server](https://docs.apify.com/integrations/mcp.md) at `https://mcp.apify.com` (remote, streamable HTTP, OAuth on first use).
- **Agentic workflows and local Actor development** — [Agent Skills](https://apify.com/.well-known/agent-skills/index.json) with the [Apify CLI](https://docs.apify.com/cli/docs.md): `npm install -g apify-cli`, then `apify login`.
- **JavaScript/TypeScript projects** — the official [JS/TS client](https://docs.apify.com/api/client/js/docs.md): `npm install apify-client`.
- **Python projects** — the official [Python client](https://docs.apify.com/api/client/python/docs.md): `pip install apify-client`.
- **Any other language** — the [REST API](https://docs.apify.com/api/v2.md).

For usage examples, see the [API](#api) section below.

# README

## SEC 8-K Material Events Tracker — by Ticker

Pull recent **SEC 8-K filings** (Current Reports) by stock ticker. One clean row per filing — ticker, company, filing date, accession number, parsed **8-K Item numbers** (1.01, 5.02, 8.01, ...), and a brief summary of items reported.

Built for **traders, fund analysts, journalists, M\&A watchers** who want a flat JSON/CSV feed of material corporate events without writing the EDGAR XML pipeline themselves.

Pairs cleanly with our **SEC Form 4 Insider Trades** actor — same source, different lens.

### What you get

One row per 8-K filing:

| field | example |
|---|---|
| ticker | `AAPL` |
| companyCik | `320193` |
| companyName | `Apple Inc.` |
| filingDate | `2026-05-29` |
| accessionNumber | `0001140361-26-023363` |
| reportDate | `2026-05-27` |
| items | `["1.01", "5.02"]` (parsed from primary doc) |
| itemSummaries | `["1.01: Entry into a Material Definitive Agreement", "5.02: Departure of Directors..."]` |
| primaryDocument | `eh1234.htm` |
| filingUrl | https://www.sec.gov/Archives/edgar/data/320193/... |
| indexUrl | https://www.sec.gov/cgi-bin/browse-edgar?action=... |

### Inputs

```json
{
  "tickers": ["AAPL", "TSLA", "NVDA"],
  "sinceDays": 7,
  "itemsFilter": ["1.01", "5.02"]
}
```

| input | default | notes |
|---|---|---|
| `tickers` | — | Required. Mixed case ok. |
| `sinceDays` | `30` | Use `1` for daily cron. |
| `since` | — | YYYY-MM-DD, overrides `sinceDays`. |
| `until` | today | YYYY-MM-DD, inclusive. |
| `itemsFilter` | all | Restrict by 8-K Item numbers (e.g. `1.01`, `5.02`). |
| `userAgent` | preset | SEC wants a contact in UA. |

### 8-K Item cheat sheet

The most-watched items:

- **1.01** Entry into a Material Definitive Agreement (M\&A, key contracts)
- **2.01** Completion of Acquisition or Disposition of Assets
- **2.02** Results of Operations and Financial Condition
- **3.02** Unregistered Sales of Equity Securities
- **4.01/4.02** Auditor changes
- **5.02** Departure / appointment of officers or directors
- **5.07** Submission of Matters to a Vote of Security Holders
- **7.01** Regulation FD Disclosure
- **8.01** Other Events
- **9.01** Financial Statements and Exhibits

### Daily cron pattern

```json
{ "tickers": ["AAPL", "MSFT", "TSLA"], "sinceDays": 1 }
```

Schedule daily after 22:00 UTC (post-trading day). Each run yields only fresh material events.

### What it doesn't do

- Doesn't return the full 8-K body — `filingUrl` lets you fetch the HTML if you need the prose.
- No prediction or sentiment — raw metadata only.
- No insider transaction data — see our SEC Form 4 actor for that.

    ]
};

// Run the Actor and wait for it to finish
const run = await client.actor("v0iddo/sec-8k-material-events-tracker").call(input);

// Fetch and print Actor results from the run's dataset (if any)
console.log('Results from dataset');
console.log(`💾 Check your data here: https://console.apify.com/storage/datasets/${run.defaultDatasetId}`);
const { items } = await client.dataset(run.defaultDatasetId).listItems();
