Why a funding event is a buying signal
A company that just closed (or started) a capital raise has something every other lead doesn't: fresh, unallocated budget, and a founder/exec actively deciding where the first dollars go — tools, hires, vendors. Sales and BD teams have used "funding as a trigger" for years, but the standard tool (Crunchbase) is expensive, delayed by publisher editorial cycles, and its API sits behind an enterprise paywall.
Every US company raising via Reg D — the exemption behind the overwhelming majority of startup, real estate, and fund raises — must file a Form D with the SEC within 15 days of first sale. It's public, structured, free, and near real-time. This actor watches that feed directly.

The noise nobody else mentions: fund vehicles are not leads
Testing this actor for real against live SEC data (2026-08-03) surfaced something worth knowing before you rely on Form D data from any source: a large share of Form D filings are VC/PE funds raising their own next fund from limited partners — not operating companies with a product and a budget. Left in, these dominate: the top of an unfiltered run showed $250-400M fund-of-fund raises ahead of every real operating company. This actor excludes filings whose industry group is Pooled Investment Fund or Investing by default (toggle exclude_investment_funds off if you specifically want fund-raise data instead of operating-company leads).

Do I need an API key? No — SEC EDGAR is public, no auth, no key.
Is this legal / against any ToS? Yes it's fine — Form D filings are public government disclosures made specifically to inform the market, not scraped private data.
Why don't I see every funding round ever announced? This actor reads the regulatory filing feed, not press coverage — some raises (mostly outside Reg D, or non-US) won't appear here, and conversely you'll see many real raises before any press covers them at all.
What does pct_sold mean? How much of the declared offering amount has already been sold as of the filing date — a fresh raise at 0% sold means the round just opened.
Why exclude Pooled Investment Fund filings by default? See "The noise nobody else mentions" above — they're a fund raising from LPs, not an operating company with product budget.
